[BC] Replacing my computer

Are there any down sides to updating my computer box to processor and
motherboard that will run a 64 bit stream?  They will all step down to 32
bit to run existing software that I have, so before I spend my tax refund on
parts, just looking for some ideas.  I DO want to get above a 1000 on the
FSB, there is no use in replacing if I do not go most of the way to the opto
today.
